1. Eligibility: The Water Horse ‘See It to Believe It’ Sweepstakes (the "Sweepstakes") is open only to legal residents of 49 of the United States and the District of Columbia who are at least 13 years or older at the time of entry. Sweepstakes is void in Rhode Island. Employees of Sponsor, its licensors and prize providers associated with the Sweepstakes (including, Aquarium of the Pacific, Hilton Long Beach & Executive Meeting Center and Lifetouch Portrait Studios), and each of the foregoing entities’ affiliates, authorized designees and other related entities, and any other individual or entity associated with the development, judging or administration of this Sweepstakes (collectively, the “Sweepstakes Entities”), as well as members of such employees’ immediate families (spouses, children, siblings, parents) or households (whether or not related), are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all federal, state, provincial, and local laws and regulations.

2. Acceptance of Official Rules: By providing information and participating in the Sweepstakes, each entrant and his/her parent/legal guardian, if necessary, agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Sweepstakes.

3. Promotion Period: The Sweepstakes begins on or about 5:00 p.m. Eastern Time ("ET") November 20th, 2007 and ends at 12:01 p.m. ET, January 8, 2008 (the "Promotion Period").

4. Sweepstakes Entry: To enter the Sweepstakes, go to http://www.kaboose.com/waterhorse (the “Sweepstakes Site”), and follow the instructions for entry. After you have fully completed the online entry form and submitted the required information, you will receive one (1) entry into the Sweepstakes. In the event of a conflict as to any online entry, the authorized account holder of the email address used to enter will be deemed the entrant. The "authorized account holder" is the individual assigned the email address by an ISP (Internet Service Provider), or other organization responsible for assigning the email address associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder. Sweepstakes Entities are not liable for lost or misdirected entries.

Only one entry per person/e-mail address during the entire Promotion Period permitted. Any additional/duplicate entries will be disqualified. Proof of delivery or receipt of a registration will not be deemed by Sponsor to be proof of receipt by Sponsor. Any attempted form of participation in the Sweepstakes other than as described herein is void. Any individual who completes an online entry form will be entered in this Sweepstakes unless his/her parent or legal guardian requests that his/her entry be removed. All entries become the property of the Sponsor and will not be acknowledged or returned. Sponsor reserves the right to cancel or to modify the Sweepstakes at any time if fraud or technical failures destroy the integrity of the Sweepstakes as determined by Sponsor, in its sole discretion, and to award the prizes based on eligible entries received prior to the cancellation. Attempts by an entrant to deliberately damage the Sweepstakes web site or undermine the legitimate operation of the Sweepstakes (including, but not limited to, any violations of these Official Rules) may be a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right (i) to disqualify any such entrant from the Sweepstakes and (ii) to seek damages from any such entrant to the extent permitted by law.

Upon entry into the Sweepstakes, the entrant will be given the opportunity to download from the Sweepstakes Site a coupon for one traditional 8x10 JCPenney® Portraits-brand family portrait. The coupon will expire on March 27, 2008. No sitting fee will be charged to the holder of the coupon, and in order to redeem the coupon, the entrant will not have to make any purchase. The coupon will not be valid on reorders, enhancements, studio events, or with other offers. If more than one family member enters the Sweepstakes, only one coupon may be redeemed at one sitting (i.e., each of the other family members who have entered the Sweepstakes will have to redeem their individual coupons at separate sittings).

5. Drawings: The potential winners will be chosen by the Sponsor through a random drawing that will take place on or about January 15, 2008. Odds of winning a prize depend on the number of eligible entries received during the Promotion Period. Selected entrants will receive an email explaining how to redeem their prize. Parent/legal guardian of any potential winner, who is a minor, must accept the prize on his/her minor's behalf. Selected entrants must comply with all terms and conditions of the Official Rules, and winning is contingent upon fulfilling all requirements. Further, in all cases, the potential minor winner's parent/legal guardian must sign, notarize and return to Sponsor, within seven (7) days of the date of notice or attempted notice is sent, an affidavit of eligibility and release (US only) in order to claim his/her prize. A potential winner forfeits his/her prize if: the potential winner cannot be contacted due to improper email address submitted by potential winner; potential winner is ineligible under these Official Rules due to age or resident location; prize is returned as undeliverable; potential winner cannot otherwise be notified; the potential winner fails to sign, notarize and return the proper affidavits, releases, or other required documents; or potential winner is otherwise disqualified. In the event that a potential winner is deemed ineligible for any reason, Sponsor may, in its sole discretion, award the prize to an alternate winner.

6. Prizes:

Grand Prize: One Grand Prize will be awarded in this Sweepstakes. The Grand Prize will consist of: roundtrip, coach-class airfare for the Grand Prize winner and up to three additional members of the Grand Prize winner’s family who are 7 years of age or older from a major airport nearest winner's home to Long Beach, CA or Los Angeles, CA; two nights/three days hotel accommodations at the Hilton Long Beach & Executive Meeting Center (deluxe suite, quad occupancy); four two day passes valid for admission to the Aquarium of the Pacific; four behind the scenes/VIP guided tour at the Aquarium of the Pacific; one $500 Visa gift card for spending money; one (1) traditional 10 sheet portrait package certificate from JCPenney Portraits; and one official THE WATER HORSE movie poster. Approximate Retail Value (ARV) of Grand Prize: US$4347.89.00.

The actual value of the Grand Prize may depend on location of winner and airline fares at the time of travel. Therefore, the actual value of the Grand Prize awarded may be lower or higher at the time it is fulfilled. Any difference between actual value and ARV will not be awarded.. All travel is subject to certain restrictions and conditions as set forth in these Official Rules. Any costs associated with Grand Prize receipt and/or use that are not expressly stated above are not included in the Grand Prize and are the responsibility solely of the Grand Prize winner and his/her travel companions. Such costs may include, without limitation, any ground transportation, meals, incidentals, gratuities, telephone calls or other personal costs and expenses not specified herein. All travel arrangements are to be administered by Sponsor or its authorized designee. Travel must take place before January 15, 2009. Grand Prize winner and his or her travel companions will be required to travel on identical itineraries including the same departure date, destination and return date. Grand Prize winner and his or her travel companions will be required to provide valid U.S. Federal or state government issued photo ID at time of travel. If Grand Prize winner elects to travel or partake in trip with no travel companions, no additional compensation will be awarded to Grand Prize winner. If Grand Prize winner is a minor, he or she must be accompanied by at least one parent or legal guardian who is 21 years or older, or the travel portion of the Grand Prize will be forfeited. No frequent flier miles will be earned on any element of Grand Prize travel. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. Grand Prize travel is subject to capacity controls, availability and certain other restrictions, which may include a Saturday night stay, all of which are subject to change. No stopovers are permitted on tickets issued as the Grand Prize; if a stopover occurs, the Grand Prize will terminate and full fare will be charged from the stopover point for the remaining trip segment(s), including the return. Once hotel and flight arrangements have been confirmed, no changes will be allowed except by Sponsor. An unclaimed and/or unused Grand Prize travel package will remain the property of Sponsor.

First Place Prizes: Five First Place Prizes will be awarded in this Sweepstakes. Each First Place Prize will consist of: one (1) traditional 10-sheet portrait package certificate from JCPenney Portraits and one official THE WATERHORSE movie poster. ARV of each First Place Prize: US$119.89.

ARV of all prizes to be awarded in this Sweepstakes: US$4947.89.

Grand Prize is non-transferable, non-assignable and has no cash value. No prize substitution or cash redemption allowed by Grand Prize winner. Sponsor reserves the right to substitute a prize of comparable or greater value if advertised Grand Prize becomes unavailable. Grand Prize may not be sold, bartered or exchanged by Grand Prize winner. Grand Prize is awarded "as is" and without any warranty of any kind.

7. General Conditions: Sponsor reserves the right to cancel or modify the Sweepstakes if fraud, technical failures or any other factor beyond Sponsor's control impairs the integrity of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. By entering this Sweepstakes, entrants agree that the Sponsor may use the likeness, photograph, voice, first name and last initial, city, state or province, and comments of winner in publicity or advertising in any medium (including the Internet or other interactive network) in perpetuity without further compensation or right of review, except where prohibited by law.

8. Release: By entering this Sweepstakes, entrant (and parent/legal guardian) agrees to release, indemnify, and hold harmless, Sweepstakes Entities from and against any claim or cause of action (including but not limited to, claims for any property loss, damage, personal injury or death) arising out of participation in the Sweepstakes or receipt, use, misuse or inability to use any of the prizes. Any and all issues concerning the validity, interpretation and enforceability of these Official Rules pertaining to the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by United States laws, and the laws of the Province of Ontario, where applicable. Entrant (and parent/legal guardian) hereby acknowledges that Sweepstakes Entities have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize or component thereof.

9. Disclaimer of Liability: Sweepstakes Entities are not liable for lost, late, stolen, defaced, mutilated, illegible, delayed, or misdirected entries, technical hardware or software failures of any kind, human error, lost or unavailable network connections, or failed, incomplete, or damaged entries, delayed computer transmission which may limit a user's ability to participate in the Sweepstakes in any way, even if caused by the negligence of one of the Sweepstakes Entities. Sweepstakes Entities are not responsible for any problems or the technical malfunction of any telephone network or lines, computer online systems, servers, or providers, software or hardware equipment, failure of any e-mail on account of technical problems, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer or property related to or resulting from participation with the Sweepstakes.

10. Personal Information: Information collected from entrants is subject to the Privacy Policy for Kaboose Inc. (http://www.kaboose.com/privacypolicy.html). Entrants have the right to withdraw or correct their personal data as provided for in the Privacy Policy.

11. Winners’ List: Sweepstakes results, winners’ list, and/or a copy of these Official Rules may be obtained by sending a self-addressed, stamped envelope to The Water Horse ‘See It to Believe It’ Sweepstakes Winners/Official Rules 1400 – 505 University Avenue Toronto, ON, Canada, M5G 1X3. Requests must be received by January 30th, 2008. Official Rules will also be posted online at http://www.kaboose.com/waterhorse/rules.html during the Promotion Period.
